About the Role
We are seeking an experienced
Corporate Secretary
to manage the company's corporate governance functions and support our Board of Directors, Shareholders' Meeting, and control bodies. This role is central to ensuring compliance with Italian corporate law, Euronext Growth Milan regulations, and Market Abuse Regulation (MAR) requirements applicable to EGM issuers. The ideal candidate combines strong legal/corporate knowledge with meticulous organizational skills and the ability to liaise confidently with directors, auditors, investors, and regulatory bodies.
Key Responsibilities
Support to Corporate Bodies
Organize meetings of the Board of Directors and the Shareholders' Meeting
Prepare meeting agendas
Collect and distribute supporting documentation
Draft and maintain minutes of meetings
Maintain mandatory corporate books and registers
Liaise with the Board of Statutory Auditors and the External Auditing Firm
Corporate Governance
Monitor the composition of corporate bodies
Manage appointments, resignations, and co-optations of directors/auditors
Verify eligibility requirements of directors and statutory auditors
Keep powers of attorney and delegations up to date
Market-Related Compliance & Disclosure
Coordinate the preparation and dissemination of price-sensitive announcements
Support the publication of periodic and ongoing market disclosures
Manage the financial calendar
Coordinate with the Euronext Growth Advisor (EGA)
Stakeholder Relations
Support shareholder relations
Manage investor inquiries
Coordinate with Investor Relations and Legal departments
Shareholders' Meeting Management
Handle convening of meetings and drafting of notices of call
Verify proxies/delegations
Provide on-site assistance during meetings
File minutes and resolutions with relevant authorities
Documentary Obligations
Keep the by-laws (statuto) updated
Maintain registers of directors and statutory auditors
Retain records for inspection/audit purposes
Compliance
Monitor regulatory deadlines
Support the application of market abuse rules applicable to EGM issuers
Coordinate with control bodies and the external auditing firm
File minutes, financial statements, and appointments
Update corporate officer records
Handle Chamber of Commerce communications
Key Annual Deadlines You Will Coordinate
Approval of the draft financial statements
Convening and holding of the Annual General Meeting
Filing of financial statements with the Companies' Register
Publication of the Annual (and, where applicable, Half-Year) Financial Report
Update of the financial calendar
Periodic corporate governance reviews
Ongoing monitoring of market disclosure obligations
Required Knowledge & Expertise
Italian Civil Code and corporate law
EU Market Abuse Regulation (MAR), as applicable to EGM issuers
Guidelines and provisions issued by Borsa Italiana
What We're Looking For
Degree in Law, Economics, or a related field
Prior experience in corporate secretariat, company secretary, or corporate governance roles, ideally within a listed company
Strong knowledge of Italian corporate law and EGM listing requirements
Excellent organizational skills and attention to detail
Discretion in handling confidential and price-sensitive information
Strong written and verbal communication skills in Italian; English proficiency is a plus
Ability to work effectively with senior management, auditors, and external advisors
