Administrative Director – Group Governance, Compliance & International Tax Tecnocap Group | Cava de’ Tirreni, Italy | Full-time Tecnocap Group is a leading Italian multinational company in the metal packaging industry, specializing in metal closures, aluminum aerosol cans and bottles, as well as premium labels. Operating in over 100 countries, with more than 1,100 employees and 12 production plants, the Group develops highly customized packaging solutions for major consumer brands across the food, beverage, wine, cosmetics, pharmaceutical, and household product sectors.

We are seeking an experienced Administrative Director to join our Group Headquarters in Cava de’ Tirreni. The role reports directly to the CFO and will play a key role in strengthening the Group’s administrative, governance, compliance, internal control, and international tax framework.

The ideal candidate will have a consolidated senior-level background in industrial or manufacturing companies, preferably within multinational groups or structured holding environments. This is a strategic position requiring strong technical expertise, business acumen, leadership, and the ability to interact effectively with corporate bodies, external advisors, auditors, tax authorities, and international subsidiaries.

KEY RESPONSIBILITIES: Group Administration, Financial Governance & Internal Controls

Lead the design, implementation, and continuous improvement of administrative, accounting, and financial procedures across the Group, ensuring operational efficiency, cost control, data reliability, and robust internal controls aligned with internal policies, applicable laws, and recognized control frameworks.

Oversee statutory financial statements, interim reporting, management reporting, budgeting, forecasting, variance analysis, and financial closing processes, ensuring transparency, accuracy, and timely delivery of information to support strategic decision-making.

Corporate Governance, Holding Structure & Compliance

Support the development, implementation, and maintenance of Group corporate governance policies, with particular focus on the organization and coordination of the Italian parent company and its foreign subsidiaries.

Prepare and coordinate documentation for executive committees, boards, corporate bodies, audit committees, and governance meetings, ensuring that agendas, minutes, decisions, delegations, procedures, and governance documentation are accurate, complete, and properly maintained.

Oversee compliance with applicable corporate, administrative, financial, and regulatory requirements, including Legislative Decree 231/2001, ESG‑related governance frameworks, GDPR, and relevant internal control procedures.

International Tax & Group Tax Governance Provide leadership and coordination on key international tax matters involving the Italian parent company and foreign subsidiaries, working closely with external tax advisors, auditors, and internal stakeholders.

Key areas of focus include:

Foreign tax risk assessments;

Transfer Pricing policies, documentation, and intercompany transactions;

CFC rules and related compliance requirements;

Permanent establishment risks and foreign branch/subsidiary structures;

Holding company tax regimes, including DEX and PEX frameworks;

Cross-border dividend, royalty, service fee, and financing flows;

Tax governance, tax risk management, and potential adoption of a Tax Control Framework in the context of Cooperative Compliance.

Ensure that the Group’s international tax approach is consistent, well documented, compliant, and aligned with business operations and governance standards.

Risk Management, Audit & External Stakeholder Engagement

Establish and maintain effective internal control and risk management systems across administrative, accounting, tax, and financial processes.

Manage relationships with external stakeholders including statutory auditors, tax authorities, legal advisors, ESG consultants, privacy advisors, ERP/IT teams, and other professional partners. Coordinate external audits, regulatory reviews, tax reviews, and compliance deliverables.

ERP, Processes & Continuous Improvement

Provide leadership and support in ERP implementations, system upgrades, process digitalization, and reporting improvements, ensuring integration, scalability, data integrity, and alignment with Group requirements.

Promote continuous improvement across administrative and governance processes, identifying opportunities to simplify workflows, strengthen controls, and improve the quality and timeliness of reporting.

ESG, GDPR & Policy Management

Support ESG governance and sustainability reporting processes, including ESG risk assessments, KPI tracking, alignment with international frameworks such as GRI, SASB, and CSRD, and coordination with external auditors or assurance providers.

Oversee the Privacy Management System to ensure compliance with GDPR and EU Regulation 2016/679, including data protection initiatives, DPIAs, breach response protocols, internal privacy audits, and staff training.

Maintain and update corporate policies and procedures in line with evolving governance, compliance, and risk management best practices.

Candidate Profile Experience

At least 10–15 years of experience in senior administrative, finance, governance, tax, or compliance roles, preferably within industrial, manufacturing, metalworking, or multinational group environments.

Proven experience in structured corporate groups, holding companies, or international organizations with foreign subsidiaries.

Strong background in administrative management, statutory reporting, internal controls, governance processes, and compliance.

Solid exposure to international tax matters, including Transfer Pricing, CFC rules, permanent establishments, foreign tax residence risks, and holding company tax regimes.

Education

Degree in Economics, Finance, Business Administration, Law, or a related field.

Additional professional qualifications in tax, accounting, audit, or corporate governance will be considered a plus.

Technical Skills

Strong knowledge of accounting, financial reporting, statutory compliance, corporate governance, internal controls, risk management, GDPR, ESG frameworks, and international tax principles.

Familiarity with Legislative Decree 231/2001, COSO framework, GRI, SASB, CSRD, and tax governance models.

Experience with Tax Control Frameworks and Cooperative Compliance programs will be considered a significant advantage.

Systems Proficiency

Strong command of ERP systems, financial reporting platforms, business intelligence tools, and advanced Microsoft Excel.

Experience in ERP implementation or process digitalization projects is highly valued.

Personal Competencies

Excellent ability to interact with senior management, corporate bodies, auditors, advisors, tax authorities, and international stakeholders.

Structured, reliable, detail‑oriented, and able to manage complex projects in a multinational environment.

Language Skills Fluency in Italian and English is required. Additional languages will be considered a plus.
